Everyone Says Form in Delaware. Should a Small Local LLC Actually Do It?

Delaware has become shorthand for forming a business in America, but popularity does not make it the automatic choice for every founder. The state has a mature body of business law, a specialized court, and an established filing system. Those strengths are real. However, a small company operating mainly in one other state has a different set of needs from a public corporation or venture-backed startup.

Online filing has made the administrative step easier, and founders who decide an LLC suits them can use free business registration while still paying the applicable state filing fee. The harder decision often comes one step earlier: choosing the state where the LLC should actually be formed.

That choice affects more than the original filing. A business may also face registered agent requirements, recurring state obligations, and registration in another state where it actually operates. Therefore, the useful question is not whether Delaware is a good place to form an entity. It is whether Delaware offers a practical advantage for this particular business.

Why Delaware Has Such a Powerful Reputation

The Scale Is Real

Delaware’s position in American business formation is difficult to overstate. According to the Delaware Division of Corporations’ 2025 statistics, 334,461 new entities were formed in the state during 2025. LLCs accounted for 235,393 of them. By year-end, Delaware had more than 2.28 million active legal entities, and more than two-thirds of Fortune 500 companies were incorporated there.

Those numbers help explain why Delaware comes up so often in conversations about business formation. Its appeal is supported by several established features:

  • a large and developed body of business law;
  • the Court of Chancery, which specializes in business disputes;
  • flexible laws governing corporations and alternative entities such as LLCs;
  • an experienced filing system and professional services network.

For companies with complex ownership, outside investors, sophisticated transactions, or plans for major growth, those features can carry significant weight.

Popularity Does Not Settle the Question

A one-person consulting company, local contractor, small retailer, or neighborhood service business may have a much simpler structure. If almost all its activity takes place in its home state, forming elsewhere can add administration without producing a clear operational benefit.

This is where founders should separate reputation from relevance. Delaware may be attractive because of its legal environment, but a local LLC should ask which of those advantages it will realistically use.

Formation State and Operating State Are Different

An LLC is domestic in the state where it is formed. If it conducts enough business activity in another state, it may also have to register there as a foreign LLC. Foreign in this context means formed under another state’s law, not formed outside the United States.

The exact threshold for doing business varies by state, so there is no universal rule. Still, founders should investigate the issue when the company has a substantial presence outside its formation state, particularly through factors such as:

  • a physical office, store, workshop, or other regular business location;
  • employees working in another state;
  • sustained local operations that go beyond occasional transactions.

A founder living and operating in one state who forms the LLC in Delaware may therefore end up maintaining a Delaware entity while also registering it in the state where the actual business operates.

That does not mean forming in Delaware is wrong. It means the founder needs to understand the second layer before assuming that an out-of-state filing simplifies anything.

Count the Whole Administrative Footprint

The initial filing fee is only one part of the comparison. A more useful calculation looks at the ongoing structure created by the choice of state.

For a small owner-operated business, the review should include:

  • initial formation and foreign qualification fees where applicable;
  • annual taxes, reports, or renewal obligations in each relevant state;
  • registered agent requirements and related costs;
  • deadlines that must be monitored in more than one jurisdiction;
  • professional help needed to manage state-specific compliance.

Delaware requires business entities to maintain a registered agent in the state. Meanwhile, another state may impose its own registered agent, filing, tax, or reporting requirements once the Delaware LLC qualifies there.

Consequently, a formation decision that looks inexpensive on day one can create two sets of responsibilities later. Founders should compare the full first year and recurring administrative costs rather than focusing only on the price displayed beside the original filing.

When Delaware May Still Be the Right Choice

There are situations where Delaware deserves serious consideration. A company expecting institutional investors, complicated ownership arrangements, major transactions, or legal issues where Delaware’s established business law offers a clear advantage may have reasons to choose it.

The calculation changes for a small company serving customers mainly in one state. If the founder does not expect to use the features that distinguish Delaware, forming in the home state may offer a more direct structure with fewer jurisdictions to maintain.
